Terms & Conditions of Membership
Collaboration Network Holdings LLP, trading as Collaboration Network, is a registered company number OC452230 whose registered office is Tudor Lodge, Augustine Road, Sheerness, ME12 2LZ
These terms and conditions form the basis of membership through which the Collaboration Network (CN, we or us) will deliver a service to you as a CN member. On becoming a member of CN or participating in CN events, paid or otherwise, you agree to these terms and conditions. We will handle your personal data in accordance with our privacy policy.

1. Interpretation

Definitions:
​
“Membership Term” means a period of twelve months (or other as specified) and which is renewable on a yearly basis until the agreement is terminated by either party in accordance with these terms.
“Events” means the events that the CN organises in each Membership Term.
“Additional Services Fee” means the fee charged to Members, guests of Members that are attending with a Member and non-members.
“Member” means the person who is named on the Application for Membership form and for whom, following acceptance the CN, the CN has agreed to provide services to, in accordance with these terms.
“Membership Fee” means the payment facilitated by the Member to the CN to cover membership costs for the Membership Term.
“Specified Service” means the service provided by the CN and set out in clause 3 to these Terms and Conditions.
“Website”: means the Collaboration Network’s website www.collaborationnetwork.co.uk

2. Agreement to these Terms

2.1 When applying for Membership of the CN, the Member confirms that they have read and agrees to be bound by these Terms and Conditions. These terms will be continually available on the Website.
2.2 These terms and conditions also apply to non-members who participate in paid for and non-chargeable services provided by the CN.
2.3 Any material changes to these Terms will be notified by the CN to the Member in writing, which may include electronic communication.

3. Membership Benefits

3.1 The Specified Service is the selection of events and publications organised and issued by the CN and represented in format and schedule on the Website.
3.2 This will change from time to time with updates available on the Website.
3.3 The CN shall at its sole discretion provide the Specified Service to the Member per Membership Term as contained in the benefits to membership levels on the Website.
3.4 The Specified Service is given to the Member subject to these Terms and Conditions. Event participation may be restricted at the discretion of the CN. This would be because of the nature of a specific event or series of events and may be based on, but is not limited to, maximum numbers for an event, seniority and expertise in a particular subject matter, geographical location, current role of the Member, nature of the Member’s employee or associated organisation and/or number of individuals wish to participate in any on event from the same organisation.
3.5 Individual membership is fully transferable to another named individual once during an annual membership.
3.6 Subject to 3.5 above, membership and member benefits are based on the individual Member and are not transferable to other individuals. The CN understands that from time-to-time circumstances may arise that restricts the ability for a named member to participate and may, at its sole discretion, invite a nominated person to participate in place of the Member, subject to Clause 3.4 above.
3.7 In the event that a Member in made redundant by the organisation funding membership, the organisation can reassign membership for the remainder of the Membership Term.
3.8 The CN shall use its reasonable endeavours to provide the Specified Service within the advertised times.
3.9 The CN may at any time without notifying the Member make any changes to the Specified Service which are necessary to comply with any safety or other statutory requirements and/or which do not materially affect the nature or quality of the Specified Service.

4. Membership Term and Payments
​
4.1 Membership of the CN is for an initial Membership Term of 12 months and is subject to payment of the Membership Fee each year. Membership fees are shown on the Website.
4.2 Following the expiry of the initial Membership Term and any subsequent Membership Term, the Member must renew their membership by paying the Membership Fee for the next Membership Term otherwise membership is terminated in accordance with these Terms and Conditions.
4.3 From time to time, Members may be required to pay the Additional Services Fee to participate in certain optional additional events and activities. An Additional Services Fee shall not be refunded if the Member unable to attend the Event following the expiry of the Event booking deadline date.
4.4 All charges quoted to the Member for the provision of the Specified Service and Events are exclusive of VAT.

5. Warranties and Liability
​
5.1 The CN warrants to the Member that the Specified Service will be provided using reasonable care and skill as far as reasonably possible. Where the CN uses the service of any agent or third party (such as speakers at events) the CN does not give any warranty, guarantee or indemnity in that respect.
5.2 Except in cases of death or personal injury caused by the CN’s negligence, the CN shall not be liable to the Member by reason of any representation (unless fraudulent or negligent) for any loss of profit or any indirect, special or consequential loss, damage costs, expenses or other claims (whether caused by the negligence of the CN or its agents or otherwise) which arise out of or in connection with the provision of the Specified Service and the entire liability of the CN under or in connection with the Membership or Specified Service shall not exceed twice the Membership Fee for that Membership Term, except as expressly provided in these Terms and Conditions. This warranty is in lieu of all other terms, conditions and warranties, expressed or implied statutory or otherwise and any other liabilities whatsoever and howsoever arising.
5.3 The CN shall not be liable to the Member or be deemed to be in breach of these Terms and Conditions by reason of any delay in performing, or any failure to perform, any of the CN’s obligations in relation to the Specified Service, if the delay or failure is due to any cause beyond the CN’s reasonable control, and time shall not be of the essence.

6. Termination of Membership

6.1 The Member may terminate their membership by giving written notice to the CN. If notice is given during the Membership Term, the Member will not be refunded the Membership Fee for the remaining Membership Term.
6.2 The CN may terminate an individual membership with a prorated refund of the remaining Membership Fee.
6.3 Either party may at any time terminate the Membership by immediate written notice if the other commits any material breach of these Terms and Conditions.
6.4 The Member may terminate this agreement if the CN goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed.
6.5 The CN may terminate this agreement beyond any period that has previously been paid for if the Member funding organisation goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed.
6.6 Upon termination of the Membership for whatever reason all sums owed by the Member to the CN shall become due and payable by the Member with immediate effect.

7. General
7.1 Membership allows a Member to access certain content, services and resources. If a Member decides to cancel their Membership, access will cease.
7.2 If you enter your details in any enquiry form or contact form you are giving your express permission for your details to be added to our data base for contact and marketing purposes. Your details maybe provided to a third party, as covered in our Privacy Policy.
7.3 The CN understands that email marketing is a useful tool, however, Members are politely asked to keep email marketing to other Members to a minimum and to include an ‘opt-out’ facility on every email. Following a complaint from another Member and given a period of 7 days to remedy any such complaint, the CN reserves the right to suspend the Member’s access to the Website and App, and such complaints would constitute a breach of these Terms and Conditions.
7.4 As a Member of the CN, the Member agrees to conduct themselves in a professional and business-like manner, treating other members with respect at all times. If the CN should receive a complaint about any Member’s behaviour, it reserves the right to suspend Membership. Upheld, such complaints would constitute a breach of these Terms and Conditions.
7.5 Membership of the CN is at the sole discretion of the CN and it reserves the right to refuse Membership.
7.6 Our website uses cookies to monitor browsing preferences. If you do allow cookies to be used, certain personal information may be stored by us. We will never share your personal details with third parties.
7.7 Wavier. No failure or delay by either party in exercising any of its rights under these Terms and Conditions shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these Terms and Conditions by the other shall be considered as a waiver of any subsequent breach of the same or any other provision.

7.8 Confidentiality

7.8.1 Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party, except as permitted below.
7.8.2 Each party may disclose the other party’s confidential information:
(a) to its employees, officers, representatives, subcontractors or advisers who need to know such information for the purposes of carrying out the party’s obligations under these Terms and Conditions. Each party shall ensure that its employees, officers, representatives, subcontractors or advisers to whom it discloses the other party’s confidential information comply with this clause; and
(b) as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.
7.8.3 Neither party shall use the other party’s confidential information for any purpose other than to perform its obligations under these Terms and Conditions.
7.9 Notices. Any notice to the CN is to be sent in writing to 45 Stuart Road, Welling, England, DA16 1RD or by email to info@collaborationnetwork.co.uk . Notices to the Member will be sent to the email address of the Member, unless the CN is otherwise informed in writing. The provisions of this clause shall not apply to the service of any proceedings or documents in any legal action.
7.10 Severance. If any provision or part-provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Terms and Conditions.
7.11 Entire agreement. These Terms and Conditions constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.
7.12 Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in these Terms and Conditions.
7.13 Variation. No variation of Membership shall be effective unless it is in writing and signed by the parties (or their authorised representatives) including by electronic means.
7.14 Force majeure. Neither party shall be in breach of these Terms and Conditions nor liable for delay in performing, or failure to perform, any of its obligations under these Terms and Conditions if such delay or failure result from events, circumstances or causes beyond its reasonable control.
7.15 Third parties. No one other than a party to these Terms and Conditions shall have any right to enforce any of its terms.
7.16 Governing law. These Terms and Conditions, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
7.17 Jurisdiction. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions or its subject matter or formation.
